Bosch Ltd to Acquire Bosch Chassis Systems India in Full Buyout to Strengthen Automotive Safety Portfolio

The transaction has received sign-off from the boards of the Bosch Group, Bosch Ltd and Bosch Chassis Systems India.

Bosch Ltd has announced plans to take full ownership of Bosch Chassis Systems India, in a bid to bolster its position in the vehicle motion and automotive safety market. The German engineering giant said on Wednesday that the deal would be structured as a combination of cash and the issuance of new equity shares on a preferential basis.

Bosch Chassis Systems India sits at the heart of Bosch's Vehicle Motion division in the country and is regarded as a significant player in automotive safety. The business manufactures active safety technologies including anti-lock braking systems, electronic stability control and advanced braking solutions, as well as passive safety products such as airbag electronic control units and sensors. Its customer base spans passenger cars, two-wheelers and commercial vehicles.

The transaction has received sign-off from the boards of the Bosch Group, Bosch Ltd and Bosch Chassis Systems India, though it still requires shareholder approval before it can be completed. Once finalised, Bosch Chassis Systems India will become a wholly-owned subsidiary of Bosch Ltd.

Bosch said the takeover would strengthen its capacity to meet shifting demand within India's fast-moving automotive industry, while opening the door to further investment in safety and braking technologies alongside its existing power solutions arm.

"Adding Bosch Chassis Systems India, with a future-fit vehicle motion solutions business into Bosch Ltd, demonstrates our organisational belief in enhancing the company's growth trajectory through portfolio diversification," Guruprasad Mudlapur, President of the Bosch Group in India and Managing Director of Bosch Ltd. said in a statement.

Despite the change in ownership structure, Bosch Chassis Systems India will continue to function as a standalone entity under the governance of Bosch Ltd.

"To foster a customer-first mindset and pivot from supplying individual components to delivering future-ready platform solutions, it is imperative to unite our forces and adopt an integrated approach," said Sandeep Nelamangala, Joint Managing Director of Bosch Ltd and President of Bosch Mobility India.
