Tata Motors Subsidiary Acquires 26% Stake In Mateshwari E-Smart Mobility

Tata Motors’ wholly owned subsidiary, TML Smart City Mobility Solutions Limited (TSCMSL), has acquired a 26 per cent stake in Mateshwari E-Smart Mobility (Hyderabad) Private Limited (MEMHPL) for ₹2.6 lakh. The deal is linked to the operation and maintenance of electric buses under the Telangana State Road Transport Corporation (TSRTC).

TSCMSL purchased 26,000 equity shares in MEMHPL, each carrying a face value of ₹10, at par. The transaction was completed on September 28, 2026, with the consideration paid in cash through the transfer of shares held by an existing shareholder of MEMHPL.

The acquisition gives TSCMSL a 26 per cent holding in the company and is intended to facilitate electric bus operations and maintenance activities in Telangana.

The transaction follows a tender awarded to TSCMSL and Mateshwari Urban Transport Solutions Private Limited, which is the holding company of MEMHPL, for the operation and maintenance of electric buses under TSRTC.

According to Tata Motors, the acquisition of MEMHPL is aimed to support the execution of the electric bus operations and maintenance contract.

TSCMSL participates in tenders floated by municipal corporations for electric bus operations and maintenance. The company said the latest acquisition is within Tata Motors’ existing business objectives covering the operation and maintenance of electric buses.

Mateshwari E-Smart Mobility Incorporated In August 2026

MEMHPL was incorporated on August 11, 2026, under the Companies Act, 2013, with e-mobility listed as its stated business objective.

The firm has an authorised share capital of ₹10 lakh and paid-up capital of ₹10 lakh. Since MEMHPL was incorporated only in August, no turnover was applicable at the time of Tata Motors’ disclosure.

The relatively recent incorporation of the entity and the timing of the acquisition indicate that the company has been established in connection with the electric mobility opportunity arising from the TSRTC tender.

TSCMSL Expands Electric Bus Operations Portfolio

The acquisition itself does not constitute a related-party transaction, according to Tata Motors’ filing. However, MEMHPL will become an associate company of Tata Motors following the transaction and will consequently qualify as a related party.

No government or regulatory approvals were required for completing the acquisition, Tata Motors said.
